TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the vidmo.app web application, editor, APIs, and any related services (collectively, the "Service"), operated by Enprico LLC ("Enprico", "we", "us", "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Eligibility & Account

You must be at least 13 years old (or the age of majority in your jurisdiction) to use the Service. You are responsible for the security of your account credentials and for all activity that occurs under your account. You agree to provide accurate registration information and to keep it up to date.

2. The Service

vidmo.app provides a browser-based motion-graphics and video editor with optional AI-assisted generation features powered by third-party models (e.g., language models for scripting, neural voiceover, stock video search). Generations consume credits tied to your subscription plan.

Subscription tiers and credit allowances are shown on the pricing page.
Unused credits roll over for 30 days, unless otherwise stated.
We may improve, modify, or discontinue features at any time with reasonable notice.

3. Subscriptions & Billing

Paid plans are billed monthly in advance through our payment processor, Stripe. By subscribing you authorize Enprico LLC to charge your payment method on a recurring basis until you cancel. You may cancel at any time from the billing portal; cancellation takes effect at the end of the current billing period.

Prices are listed in U.S. Dollars and exclude applicable taxes. We may change pricing with at least 30 days' notice; changes apply to the next renewal.

4. Refunds

Refunds are governed by our Refund Policy. In short: once you have generated a video using the Service (any successful AI generation or export), the subscription period is considered consumed and is non-refundable.

5. Acceptable Use

You agree not to use the Service to:

Generate content that is unlawful, defamatory, harassing, sexually explicit involving minors, or that infringes intellectual-property rights;
Impersonate any person, or misrepresent your affiliation with any person or entity;
Reverse engineer, scrape, or otherwise extract the underlying models or proprietary data;
Resell, sublicense, or commercially redistribute raw API capacity outside of an end-user product;
Attempt to disrupt, overload, or bypass rate limits or security controls.

6. Your Content

You retain ownership of the prompts, scripts, uploads, and exported videos you create ("Your Content"). You grant Enprico a worldwide, non-exclusive, royalty-free license to host, process, and transmit Your Content solely to operate and improve the Service. We do not use Your Content to train foundation models without your explicit consent.

7. Third-Party Services

The Service relies on third parties including Stripe (payments), Supabase (auth & storage), Anthropic / Claude (language models), ElevenLabs (voiceover), and Pexels (stock media). Your use of those outputs is subject to their respective terms.

8. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that AI generations will be accurate, fit for any purpose, or free from objectionable content.

9. Limitation of Liability

To the maximum extent permitted by law, Enprico LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our aggregate liability for any claim arising out of or relating to the Service shall not exceed the amounts you paid to Enprico in the twelve (12) months preceding the event giving rise to the claim.

10. Termination

We may suspend or terminate your access if you breach these Terms or if required by law. You may close your account at any time; sections that by their nature should survive termination (e.g., IP, liability, indemnity) will survive.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to that exclusive jurisdiction.

12. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via the Service or by email. Continued use after the effective date constitutes acceptance.
